Terms of Service
Effective date: [DATE] · [LEGAL ENTITY NAME]
Operator: [LEGAL ENTITY NAME], [ADDRESS], Switzerland. Contact: [CONTACT EMAIL].
1. Agreement
By requesting an invitation, creating an account, or using Repertoire (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.
2. What Repertoire is
Repertoire is a private, invitation-only AI concierge that suggests exceptional places (restaurants, hotels, bars, cafés, experiences) from a curated, human-vetted database, via a natural-language chat. Recommendations are advisory and for information only (see §8).
3. Eligibility & membership
- You must be at least 18 and able to form a binding contract.
- Membership is by invitation; we may accept, decline, or revoke access at our discretion.
- You are responsible for keeping your account credentials confidential and for activity under your account.
4. Subscription, billing & cancellation
- Membership is offered on a subscription basis at CHF 25 per month (or the price shown at purchase), billed through our payment processor (Stripe).
- Auto-renewal: subscriptions renew automatically at the then-current price unless cancelled before the renewal date. Renewal terms are made clear at checkout.
- Cancellation: you may cancel at any time from your account or by contacting us; cancellation stops future renewals. Access continues until the end of the paid period.
- Refunds & withdrawal: Swiss law does not generally grant a statutory cooling-off right for digital purchases. Consumers in the EU/EEA may have a statutory withdrawal right (typically 14 days), subject to waiver rules where digital services are supplied immediately.
- Prices may change; changes apply to future renewals with prior notice.
5. Acceptable use
You agree not to: (a) scrape, copy, resell, or redistribute the database or recommendations; (b) share your account or invitations in breach of these Terms; (c) misuse, overload, probe, or attempt to manipulate the Service or its AI (including prompt-injection attempts); (d) use the Service unlawfully or to infringe others’ rights.
We may apply reasonable rate limits and other technical measures to protect the Service and its content, and may suspend or restrict access for abnormal, automated, or bulk use.
6. Invitations & referrals
Members may invite others where the feature is offered. You must only share invitations with people you have a genuine relationship with and who consent to being contacted. We are not responsible for messages you choose to send.
7. Intellectual property
The Service, its curation, selection, descriptions, and compilation of places, and all related content and software are owned by us or our licensors and protected by law. We grant you a limited, personal, non-transferable, revocable licence to use the Service for your own non-commercial use. No other rights are granted.
8. AI transparency & limitations
- Recommendations are generated by an artificial-intelligence system operating over our curated database. You are interacting with an AI, not a human, when you use the concierge.
- Recommendations are suggestions, not guarantees. They may be incomplete, outdated, or occasionally incorrect. Opening hours, availability, prices, and bookings can change — verify independently before you rely on them or travel.
- The Service does not provide professional advice (legal, financial, medical, safety, dietary, or otherwise). Use your own judgement.
- We do not guarantee that any recommended place will meet your expectations or be available.
9. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind to the maximum extent permitted by law, including fitness for a particular purpose, accuracy, or uninterrupted availability. This section does not exclude liability that cannot be excluded under applicable law (including certain consumer rights).
10. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, or for any loss arising from your reliance on a recommendation. Our total aggregate liability for any claim is limited to the amount you paid us in the 12 months before the claim. Nothing here limits liability for death or personal injury caused by negligence, fraud, or anything that cannot lawfully be limited.
11. Suspension & termination
We may suspend or terminate access for breach of these Terms or misuse. You may stop using the Service at any time. On termination, §§7–10 and 13 survive.
12. Changes
We may update these Terms; material changes will be notified by email or in-app and take effect on the stated date. Continued use means acceptance.
13. Governing law & disputes
These Terms are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules and the CISG. Disputes are subject to the ordinary courts at our registered seat in Canton of Ticino, Switzerland — without prejudice to mandatory consumer-protection rights that apply where you live (including for EU/EEA consumers).
